Terms of Service — Paradays

These Terms of Service ("Terms") are a binding agreement between you and Paradays LLC, a Washington limited liability company (UBI 606 229 464) ("Paradays," "we," "us," or "our"). They govern your use of the Paradays mobile application and the related websites at getparadays.com and paradays.day (collectively, the "Service").

Paradays is a marketplace that connects customers with local people who offer activities and services — showing newcomers around a city, fitness and outdoor activities, tutoring and language practice, creative work, and household help. We currently operate in the United States only.

By creating an account or using the Service, you agree to these Terms, to our Privacy Policy, and to our Cancellation Policy, each of which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

1. Acceptance & Eligibility

1.1 Agreement to these Terms

You accept these Terms by creating an account, tapping "agree" where prompted, or using the Service. You must be legally capable of entering into a binding contract.

1.2 You must be 18 or older

Paradays is available only to users 18 years of age or older. By creating an account, you confirm that you are at least 18. We may verify your date of birth and may suspend or terminate accounts that misrepresent age. The Service is not directed to minors, and no part of the Service may be used to offer or arrange services involving anyone under 18 except as expressly permitted (for example, tutoring a minor arranged and supervised by the minor's parent or legal guardian, who is the customer of record).

1.3 United States only

The Service is currently offered only in the United States. You may not use the Service to offer or book services outside the United States.

1.4 Accurate information

You agree to provide accurate, current, and complete information when you register and to keep it current. See Section 3.2 (Profile Accuracy).


2. The Paradays Platform

2.1 Paradays is a marketplace, not a service provider

Paradays provides a neutral venue where customers and performers find each other, communicate, book, meet, and pay. Paradays itself does not provide, supervise, direct, or control the services that performers offer.

When a customer books a performer, the resulting service agreement is between the customer and the performer. Paradays is not a party to that agreement. Paradays is not:

2.2 Performers are independent

Performers are independent providers. They set their own rates (subject to legally required minimums — see Section 10.2), choose their own offerings, accept or decline bookings at their own discretion, and are solely responsible for the services they provide, including any licenses, permits, insurance, or registrations those services require.

Nothing in these Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between Paradays and any user.

2.3 No endorsement or screening

Paradays does not conduct background checks and does not verify performers' identities, qualifications, certifications, or licensing beyond the account information they provide. Listings, profiles, and ratings reflect what users self-report and how other users rate them — not any endorsement by Paradays. You are responsible for evaluating who you meet and what you book. See Section 11 (Not Professional Advice) and Section 17 (Disclaimers).


3. Accounts & Profiles

3.1 Account types

The Service offers two account types:

3.2 Profile accuracy

You must provide accurate information when creating and maintaining your profile, including your legal name, date of birth, operating location (city and state), and payment details, and you must keep this information current. Material misrepresentation — including misrepresenting your operating state — is grounds for account termination. Operating-state accuracy also matters for tax purposes; see Section 13.

3.3 Account security

You are responsible for everything that happens under your account. Keep your credentials secure, and notify us at support@getparadays.com if you suspect unauthorized access. You may not sell, transfer, or share your account, and you may maintain only one account.

3.4 Deleting your account

You may delete your account at any time in the app (Account → Settings → Danger Zone → Delete Account) or via https://getparadays.com/delete-account. Deletion effects on your data are described in the Privacy Policy. Obligations you incurred before deletion (including amounts owed and the provisions listed in Section 19.8) survive deletion.


4. Bookings & Payments

4.1 How bookings work

A booking is formed when a customer's request or a performer's response is confirmed through the Service. At confirmation, a hold (pre-authorization) is placed on the customer's payment method for the estimated total. The meeting begins with an in-person check-in (the "digital handshake") — one party presents a code or QR code, and the other scans or enters it. The session runs from the check-in until it is ended in the app, after which the final amount is calculated and charged.

4.2 Platform fee (commission)

Paradays charges a platform fee on each completed booking. The fee is calculated as a markup on the performer's base rate and is included in the total price shown at checkout — the performer always receives 100% of their stated rate.

For meetings with extensions, the tier is determined by the cumulative total (the main booking plus all approved extensions), and any lower-tier discount is applied retroactively at the time of final payment capture.

Payment-processing fees charged by our payment processor, Stripe (typically 2.9% + $0.30 per transaction), are included within the platform fee — they are not charged separately to you.

4.3 Time-based billing — minimum, rounding, early end

Hourly bookings are billed for the actual time the meeting takes place, measured from the in-person check-in (digital handshake) to the end of the session, subject to the following:

The total price — including the platform fee (Section 4.2) and any applicable rate adjustments (Section 10.2) — is shown before you confirm a booking. The performer always receives 100% of their stated rate for the billed time.

4.4 Payment authorization

By confirming a booking, you authorize Paradays (through Stripe) to place a hold on your payment method for the estimated total and to charge the final billed amount when the meeting ends, including any approved extensions and any legally required rate adjustments (Section 10.2). If a meeting never begins, the hold is released in full.

4.5 Payouts to performers

Performer earnings are paid out through Stripe Connect. Performers appoint Paradays as their limited payment-collection agent solely to collect payment from customers on their behalf; payment by a customer to Paradays is considered payment to the performer. To receive payouts, performers must complete Stripe Connect onboarding and satisfy Stripe's identity and account requirements. Payouts are subject to a processing delay (typically 7 days) after a booking completes; this window also backs the refund process described in Section 6.


5. Cancellations & No-Shows

5.1 Cancellation Policy

By using the Service, you agree to the Cancellation Policy published at https://getparadays.com/cancellation. Key points:

The same rules apply equally to customers and performers.

5.2 No-shows

A "no-show" occurs when a confirmed meeting never begins because one or both parties fail to complete the in-person check-in (the digital handshake) within the meeting's start window — from 15 minutes before to 60 minutes after the scheduled start time.

Attribution may be based on a counterparty's report and on Paradays' automated record of whether a check-in occurred. Paradays does not require or use location/GPS data to determine a no-show. Reliability actions are recorded and appealable via support@getparadays.com.


6. Refunds & Chargebacks

6.1 Refund requests

If a meeting was completed (the check-in occurred and the session ended) and you believe the service was materially deficient — for example, the service provided did not match the offer, or you have a verified fraud concern — you may request a refund within 7 days of the meeting's completion.

If a meeting never began, no charge occurred and no refund is needed (Section 5.2).

6.2 Refund abuse

Refund requests are tracked. Accounts showing a pattern of repeated refund requests relative to their total bookings may be flagged for review, warned, restricted, or permanently banned. A first refund request triggers review of that request only; repeated requests — particularly when they represent a significant share of an account's bookings — may result in automatic termination.

6.3 Chargebacks

Paradays provides an in-platform refund and dispute process (Section 6.1), and you agree to use it first before contacting your card issuer.

A chargeback initiated through a card issuer — bypassing Paradays' dispute process — is treated as a material breach of these Terms. A single chargeback results in permanent account termination and forfeiture of pending balances associated with the account.


7. Reviews

After a completed meeting, both the customer and the performer may submit a review of the other party. Reviews operate under a blind-review system: a review remains hidden until (a) both parties have submitted their reviews, or (b) 7 days have passed since the meeting — whichever comes first. This prevents retaliatory reviews.

Once revealed, reviews are public and subject to Paradays' content rules: no personal attacks, no harassment, no sharing of private information (addresses, phone numbers, or other personal details), and no content prohibited by Section 9. Paradays may remove reviews that violate these rules but does not otherwise edit or suppress honest reviews.


8. Service Requests

Customers may post public Service Requests describing a service they need (including group requests for multiple performers and fixed-total-budget requests). Performers may respond with offers, including a proposed price.


9. Prohibited Conduct & Content

9.1 General rules

You may not use the Service to break the law, to harm or harass others, or to undermine the integrity of the marketplace. Among other things, you may not:

9.2 Anti-circumvention (off-platform contact)

You agree to conduct all bookings, communication, and payments for Paradays-originated services exclusively through the Service. Exchanging phone numbers, email addresses, social-messaging IDs (WhatsApp, Telegram, Signal, and similar), or payment-service handles (Venmo, Zelle, Cash App, PayPal, and similar) for the purpose of arranging services outside Paradays is prohibited and constitutes a material breach of these Terms.

Violations may result in:

  1. posted warnings visible to all parties in the chat;
  2. accumulation of fraud-score points (20 per detected violation);
  3. automatic flagging for administrative review at a cumulative score of 40;
  4. automatic restriction of the account (blocked from new bookings and proposals) at a cumulative score of 70;
  5. account suspension or termination at Paradays' discretion;
  6. forfeiture of pending payouts where termination follows confirmed circumvention.

Detection may be automated or manual. Chat messages are scanned by automated systems (keyword and pattern matching) for off-platform contact attempts; detection may also come from administrative review or a counterparty's report. Automated warnings are informational; all enforcement actions are recorded and appealable via support@getparadays.com.

9.3 Prohibited service categories

Paradays is a marketplace for local activities and services. The following are strictly prohibited anywhere on the Service — in offers, profiles, service requests, messages, or photos:

9.4 Restricted terminology (keyword guardrails)

Services on Paradays are peer-to-peer, not regulated professional services. To keep listings within legal bounds, you agree not to use the following terminology in offer titles, descriptions, service requests, or tag selections:

Offers containing restricted terms are automatically rejected at publication. Repeated violations may result in account restriction or termination. Paradays may expand this list as legal requirements evolve; users will be notified of material changes.

9.5 Content standards

All content you post (profiles, photos, offers, requests, messages, reviews) must comply with these Terms. Uploaded photos are automatically scanned for prohibited content, and uncertain cases may be reviewed by our staff (see the Privacy Policy). We may remove content that violates these Terms and may suspend or terminate accounts responsible for it.


10. Category-Specific Terms

10.1 Help & Fix — session cap and contractor (L&I) disclaimer

In Washington State, the Help & Fix category is limited to session totals of $499.99 (rate × duration). This cap keeps handyman-style work within the statutory exemption of RCW 18.27.090(9), which allows work without L&I Contractor Registration only when the aggregate contract is under $500.

10.2 Legally required rate adjustments (domestic workers)

Certain local and state laws set a minimum hourly rate for domestic workers performing services such as house cleaning, childcare (nanny services), in-home cooking, household management, and gardening. When applicable law requires a rate higher than the performer's listed rate, Paradays automatically adjusts the booking rate to at least the required legal minimum.


11. Not Professional Advice

Services offered on Paradays are peer-to-peer and non-professional in nature. Nothing offered, exchanged, or communicated through the Service constitutes:

Performers on Paradays are not assumed to hold professional licenses or certifications. You interact with performers at your own risk and should independently verify credentials when the nature of a service warrants it (for example, handyman work, tutoring involving minors, or pet care for medically fragile animals).

Paradays makes no representations about performers' qualifications, skills, reliability, or suitability for a particular task beyond what performers self-report in their profiles. You acknowledge that this disclaimer overrides any implied warranty of merchantability or fitness for a particular purpose. See also Section 17.


12. Referral Program

When a performer creates an account via an invite link from an existing performer (the "referrer"), the referrer earns a share of the platform fees collected on the referred performer's completed bookings for 12 months from the referred performer's account-creation date.

The referral share is tiered, mirroring the platform-fee tiers (Section 4.2):

Referral earnings accrue in the referrer's referral balance and may be withdrawn to the referrer's connected Stripe Connect account once the balance reaches the $10 minimum threshold. No share is paid for bookings that occur after the 12-month window expires. Referral earnings are paid from Paradays' platform fee and never reduce the referred performer's earnings. Paradays may modify or discontinue the referral program prospectively; accrued balances are honored.


13. Taxes

13.1 Marketplace facilitator collection

Where required by state law, Paradays will collect and remit applicable sales tax on bookings. Paradays operates as a Marketplace Facilitator (as defined by applicable state statutes) and may be required to collect tax on behalf of performers in jurisdictions where it meets economic-nexus thresholds.

When applicable, the tax amount is calculated based on the performer's registered operating state and displayed as a separate line item at checkout. Tax collected is remitted to the relevant state authority — it is neither retained by Paradays nor deducted from the performer's earnings.

13.2 Operating-state accuracy

Performers agree to accurately declare their primary operating state in their profile. Misrepresentation of operating state for the purpose of tax avoidance is a material breach of these Terms and may result in: (a) immediate account termination; (b) forfeiture of pending payouts; (c) reporting to state tax authorities; and (d) Paradays seeking indemnification for any tax liabilities arising from the misrepresentation.

13.3 Your own taxes

Performers are independent providers responsible for their own income taxes, business taxes, and any registrations their activity requires. Paradays does not withhold income taxes from payouts. Paradays (through Stripe) may issue tax forms (such as Form 1099-K) where required by law.


14. Copyright & DMCA

Paradays complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice to our Designated Agent registered with the U.S. Copyright Office:

A valid DMCA notice must include: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the allegedly infringing material on the Service, with enough detail for us to locate it (a specific URL or in-app path); (3) your contact information; (4) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (5) a statement, under penalty of perjury, that the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (6) your physical or electronic signature.

If your content was removed in response to a DMCA notice and you believe the removal was a mistake or misidentification, you may submit a counter-notice under 17 U.S.C. §512(g) to the same Designated Agent. Full notice-format requirements and the counter-notice procedure are published at https://getparadays.com/legal/dmca.

Repeat-infringer policy. In accordance with 17 U.S.C. §512(i), Paradays terminates the accounts of repeat copyright infringers. Three or more substantiated DMCA notices against an account within any 12-month period result in permanent termination. Determinations are made by Paradays in good faith based on the evidence available, including any counter-notices.


15. Data & Content Retention

How we handle personal data generally is described in the Privacy Policy. The following content-retention rule is part of these Terms:

Service Request photos. Photos attached to Service Requests are retained for 30 days after the request is closed, fulfilled, or expired. After that period, the photo files are permanently deleted from Paradays' storage and the underlying links on the request are cleared.

The request itself, chat history with responding performers, and any meeting records that arose from the request remain available under their separate retention policies (see the Privacy Policy). If you need long-term copies of attached photos, download them before the 30-day window elapses, via the request detail screen.

Paradays may apply broader or narrower retention windows to specific categories of content in the future as required by law or operational policy. Material changes to photo retention will be reflected in updated Terms with at least 30 days' advance notice.


16. Termination

16.1 By you

You may stop using the Service and delete your account at any time (Section 3.4).

16.2 By Paradays

We may suspend, restrict, or terminate your account, remove your content, or refuse service if you breach these Terms, create risk or legal exposure for Paradays or other users, or where required by law. Specific enforcement mechanisms described elsewhere in these Terms include:

Where termination follows confirmed circumvention, fraud, or a chargeback, pending payouts and balances may be forfeited as described in the applicable section.

16.3 Effect of termination

On termination, your right to use the Service ends. Bookings in progress may be cancelled. Amounts properly owed to performers for completed meetings (other than forfeited amounts) will be paid out per Section 4.5. Sections that by their nature should survive — including Sections 6, 9.2 (forfeiture), 11, 13, 14, 17, 18, and 19 — survive termination.


17. Disclaimers & Limitation of Liability

17.1 Service provided "as is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PARADAYS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING, PROFILE, OR REVIEW IS ACCURATE.

17.2 Assumption of risk

The Service facilitates in-person meetings between people who may not know each other. You acknowledge and accept the risks inherent in meeting, working with, or providing services to people you meet through the Service. Paradays does not conduct background checks (Section 2.3). Use good judgment: meet in appropriate locations, review profiles and ratings, and use the in-app safety features where available.

17.3 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARADAYS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS — INCLUDING DAMAGES ARISING FROM THE CONDUCT OF OTHER USERS OR FROM SERVICES PROVIDED BY PERFORMERS — WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PARADAYS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARADAYS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL PLATFORM FEES YOU PAID TO PARADAYS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. In those jurisdictions, liability is limited to the maximum extent permitted by law.

17.4 Indemnification

You agree to defend, indemnify, and hold harmless Paradays and its officers, members, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) services you provide or receive through the Service; (c) your content; (d) your breach of these Terms; or (e) your violation of any law or the rights of a third party — including, for performers, any claim arising from missing licenses, permits, registrations, or insurance.


18. Dispute Resolution & Governing Law

18.1 Informal resolution first

Before filing any claim, you and Paradays agree to try to resolve the dispute informally. Send a written description of the dispute to support@getparadays.com (or, from Paradays to you, to your account email). If the dispute is not resolved within 60 days of receipt, either party may proceed under this Section.

18.2 Binding arbitration

Except as provided in Section 18.3, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org. The arbitration will be conducted by a single arbitrator, in English, and may proceed by videoconference or, if an in-person hearing is required, in the county where you reside or another mutually agreed location. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, or enforceability of this arbitration agreement, except that a court decides the enforceability of the class-action waiver in Section 18.4. Judgment on the award may be entered in any court of competent jurisdiction. AAA filing, administration, and arbitrator fees are governed by the AAA Consumer Arbitration Rules; if your claim is for less than $10,000, Paradays will pay the portion of those fees that exceeds your AAA consumer filing fee.

18.3 Small-claims carve-out

Either party may bring an individual claim in small-claims court in the county where you reside (or King County or Spokane County, Washington) instead of arbitration, so long as the claim qualifies for that court and proceeds on an individual basis. Either party may also seek injunctive or other equitable relief in court for infringement or misuse of intellectual-property rights.

18.4 Class-action waiver

You and Paradays each agree that disputes may be brought only on an individual basis — not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court, and the remainder stays in arbitration.

18.5 Governing law and venue

These Terms and any dispute arising out of them are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act with respect to Section 18.2. For any matter not subject to arbitration, you and Paradays consent to the exclusive jurisdiction and venue of the state and federal courts located in Washington State.

18.6 One-year limitation period

To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim accrued; otherwise, it is permanently barred.

18.7 Opt-out

You may opt out of the arbitration agreement and class-action waiver (Sections 18.2 and 18.4) by emailing support@getparadays.com within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out," your name, and the email associated with your account. Opting out does not affect any other part of these Terms.


19. General Provisions

19.1 Changes to these Terms

We may update these Terms from time to time. The current version will always be posted at https://getparadays.com/terms with its "Last updated" date, and prior versions remain available on request. For material changes, we will give at least 30 days' advance notice by email and/or in-app notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance. You are bound by the version of the Terms in effect when you signed up or when you took your most recent material action (such as confirming a booking), whichever is later.

19.2 Entire agreement

These Terms, together with the Privacy Policy, the Cancellation Policy, and any other policies expressly incorporated by reference, are the entire agreement between you and Paradays regarding the Service and supersede any prior agreements.

19.3 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions remain in full force.

19.4 No waiver

Paradays' failure to enforce any provision is not a waiver of the right to enforce it later.

19.5 Assignment

You may not assign or transfer these Terms or your account. Paradays may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

19.6 No agency

Except for the limited payment-collection role described in Section 4.5, nothing in these Terms creates any agency, employment, partnership, or joint venture between you and Paradays (see Section 2.2).

19.7 Force majeure

Paradays is not liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, outages of third-party services (such as payment processing or cloud infrastructure), labor disputes, or governmental action.

19.8 Survival

Sections 4 (amounts owed), 6, 9.2 (forfeiture), 11, 13, 14, 16.3, 17, 18, and 19 survive termination of these Terms or your account.

19.9 Electronic communications

You consent to receive notices and communications from Paradays electronically — by email to your account address and through in-app notices — and agree that electronic notices satisfy any legal requirement that communications be in writing.
